Termination of lease agreement due to COVID-19 epidemic

In the VTV1 Financial News at noon on April 7, 2020, Mr. Nguyen Hung Quang, Managing Partner of NHQuang&Associates, had an interview with VTV1 reporter about the termination of the lease agreement due to the outbreak of COVID-19. According to the Lawyer, “Determining whether or not there is a violation of the lease agreement will depend on the content of such lease agreement and the type of goods and services being traded by business households”.

In the case the contract does not have specific provisions, it is possible to be based on the provisions of Article 156 of the Civil Code on the basic factors forming a force majeure event to determine whether the COVID-19 outbreak is a force majeure event or not. The three basic elements are:

1. It happened objectively;
2. It is unpredictable;
3. It is impossible to overcome even though all necessary measures and permissible abilities have been applied.
