Legal Newsletter No. 04/2016

So far, there have been certain changes to Vietnamese regulations on formation of representative offices and branches of foreign merchants in Vietnam. Accordingly, For Enterprises’ Knowledge Column in this volume will focus on some new provisions of Decree No. 07/2016/ND-CP providing details for the Law on Commerce on representative offices and branches of foreign merchants in Vietnam, which comes into force from 10 March 2016, replacing Decree No. 72/2006/ND-CP providing the similar issues.

Decree No. 11/2016 was promulgated by the Government on 03 February 2016 to guide the Labour Code on foreigners working in Vietnam (“Decree 11”). This Decree substitutes Decree No. 102/2013/ND-CP providing guidelines for the Labour Code on the the same (“Decree 102”), and shall come into effect from 01 April 2016. One of the key differences between Decree 11 and Decree 102 is the regulation on foreign workers being experts, managers, managing director and technical employees.

Lending and borrowing between enterprises rather than credit institutions for long have been an entanglement of several enterprises.  Are enterprises legally permitted to conduct lending and borrowing transactions? If it is permitted, what should be noticed? In the Policy Brief this volume, NHQuang&Associates will introduce some analysis about capital lending among enterprises not being credit institutions.
